TERMS OF USE FOR VIDA SERVICES
Effective as of 01 July 2026,
PLEASE READ THIS TERMS OF USE FOR VIDA SERVICES ("TERMS") CAREFULLY. BY ACCESSING OR USING OUR WEBSITES, MOBILE APPLICATIONS, SOFTWARE DEVELOPMENT KITS, APPLICATION PROGRAMMING INTERFACE OR OTHER PRODUCTS OR SERVICES THAT HAVE LINKED TO THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, PLEASE DO NOT USE OR STOP USING VIDA PRODUCTS OR SERVICES.
A. Definition
“Account” means a registered account created by a User to access or use VIDA Services, including any credentials and access mechanisms associated with such VIDA Services.
“Digital Certificate” means a digital certificate that can be used to contain the Digital Signature and identity that identifies the status of the legal subjects in an Electronic Transaction, that is issued by a certification authority.
“Digital Signature” means an electronic signature accompanied by an electronic certificate issued by a recognized Electronic Certification Provider (PSrE). Such electronic certificate verifies the authenticity of the signatory's identity, thereby granting the digital signature stronger legal standing and making it non-repudiable.
“Electronic Signature” means an electronic signature that is not accompanied by an electronic certificate. Such signature constitutes an electronic action that is logically associated with a document and reflects the User's consent or intent to sign said document.
“Entity” means a legal entity or organization that creates or administers Accounts and governs Users for use by its employees, agents, or authorized users.
“Services” means website, mobile applications, Software Development Kit (SDK), Application Programming Interface (API), another designated IP address or other products and features delivered and managed by VIDA and linked to these Terms.
“Suspend” or “Termination” means the suspension of access, or the permanent closure or deletion of a user's account from the system.
“User”, “you”, “your” or “yours” means an individual who accesses and uses an account containing your personal data to access VIDA Services.
“VIDA”, “we”, “us”, “our”, “ours” means VIDA and its affiliates who provide the Services.
B. General:
1. These Terms apply to all Services or Account provided by VIDA.
2. VIDA operates across multiple jurisdictions. Users are responsible for ensuring compliance with local laws before utilizing VIDA Account or Service. Users shall not access or use the Services in violation of applicable sanctions, export control laws, or trade restrictions.
3. The provision of VIDA Services is carried out by the relevant VIDA entity operating in the applicable jurisdiction and is subject to the laws and regulations of that jurisdiction. Details of the relevant VIDA entities and their jurisdictions are set out in the table below.

Accordingly, the availability, performance, features, functionality, workflow of the Services may vary depending on User’s location, jurisdiction and regulatory requirements in which the Services are delivered, manner in which the Service is accessed or integrated, and service-specific applied configuration.
4. VIDA reserves the right to modify or edit these Terms at any time and at VIDA’s sole discretion and is not obligated to provide an advance notice. The revised Terms will take effect from the time it is uploaded on VIDA’s website (www.vida.id). We recommend you to check the site for any change from time to time. By continuing to use VIDA Account or Services, you have deemed to have agreed to the revised Terms.
C. Use of VIDA Services:
1. Unless otherwise authorized and agreed by VIDA, we grant you a limited, revocable and non-transferable right to use VIDA Account or Services.
2. To use VIDA Services, you must be of the legal age to act for and on behalf of yourself under the applicable law. You further represent that you are not a minor, and are not under any guardianship from a parent or legal guardian. You or your VIDA Account also must not have been previously terminated or blacklisted by VIDA due to violation of any applicable law or breach of any of VIDA’s terms and policies.
3. If you use or are using a VIDA Account or Services on behalf of any entity, you represent and warrant that you have the authority to accept these Terms on behalf of such entity.
4. As VIDA provides various products and services, some additional or specific terms and conditions may apply for the relevant Services usage.
5. For the use of VIDA Verify Suite, directly or indirectly, you will be asked to provide your data, including but not limited to personal data related to your identity such as your name, phone number, e-mail address, geolocation, date of birth, national or government-issued identification card or other reliable forms of identification document (depending where applicable laws where User’s located), biometric data (including facial images and liveness detection data), as well as other information or documentation as reasonably required by VIDA to establish your identity. You agree to provide us with your own, accurate, updated and complete identity data at all times while using VIDA Services and have consented to its use by us for the provision of VIDA Services. VIDA also reserves the right to request additional information or documentation, or to apply different verification methods, where required for compliance, security, or fraud prevention purposes. Additionally, verification methods may vary based on jurisdiction and configuration.
6. VIDA may provide liveness detection and other fraud detection technologies as a standalone service or as part of the identity verification service. You acknowledge that such technologies are probabilistic in nature thus may not be entirely accurate, may not detect all spoofing attempts, deepfakes, or fraudulent activities. The methods and implementation of such technologies may also vary depending on technical configuration. You are responsible for determining the suitability of these Services for your specific use case.
7. VIDA may use device intelligence, behavioral biometrics, or similar tracking technologies to support fraud detection and fraud prevention in VIDA Account or Services. Such technologies may collect User’s device-related information (e.g., device identifiers, browser type, IP address, GPS location) and analyze patterns of User’s interaction (e.g., typing, touch, or navigation behavior) to help distinguish legitimate from fraudulent activity. In certain cases, these technologies may be provided or supported by third-party service providers acting on VIDA’s behalf. Such providers may process technical and behavioral data for the security purposes and are not authorized to access the substantive content of User’s confidential inputs.
8. For the use of VIDA Certificate Authority’s service including Digital Certificate lifecycle, Digital Certificate utilization including the Digital Signature Services, User shall also be subject to VIDA’s Subscriber Agreement, Certification Practice Statement, and CA Privacy Policy accessible in repo.vida.id which form part of these Terms where applicable.
9. For the use of VIDA Sign Suite including Digital signature and Electronic signature Services, Users are solely responsible for the content and legality of the documents submitted, processed, or executed by the Services. VIDA does not review, control, or assume responsibility for the content of such documents.
10. VIDA may use cookies and similar technologies in connection with the Services, including for functionality, security, analytics, personalization, and service improvement, as described in the VIDA Privacy Policy.
11. VIDA may provide configurable settings within the Account that allow Users to define how the Services will run, for example settings related to workflows, document handling, document storage preferences, access controls, and other functionality where such options are made available. You acknowledge and agree that the manner in which you configure and use the Services is determined by you. You are solely responsible for determining and implementing appropriate configurations based on your operational needs and applicable legal or regulatory requirements.
12. VIDA Services may be embedded within, integrated into, or accessed through third-party platforms, applications, or systems. In such cases, your interaction with VIDA Services will be facilitated by a third party. By accessing or using such third party services in connection with VIDA Services, you agree that these third parties may receive, use your personal data, and/or utilize your Account as necessary to provide their services and enable integration with VIDA. Any sharing of personal data by VIDA with such third parties will be conducted in accordance with your consent to these Terms. Notwithstanding that use of the underlying VIDA Services remains subject to these Terms, any processing by third parties is governed by their respective terms of use and privacy policies, which VIDA has no control over. VIDA shall not be liable for any services, content, the data practices, or activities provided by such third parties to you. Thus VIDA is not responsible for any loss or damage or consequence arising in connection with the processing of your personal data that has been received by a third party with your consent.
13. VIDA Services may be supported by affiliated entities and authorized third-party service providers as part of its service delivery and operational supply chain. VIDA requires such parties to implement appropriate security and confidentiality measures comparable to those implemented by VIDA.
14. You have the right to access your profile at any time through your VIDA Account. Your VIDA Account will continue to be accessible for an indefinite period of time unless you ask VIDA to delete your account. VIDA may retain certain information following account deletion where required by applicable laws, regulations, security obligations, or legitimate business purposes. If you have additional support requests that are unable to be accessed through your profile, please contact our support team.
15. VIDA implements reasonable organizational, technical, and physical security measures to protect our systems in accordance with industry-standard security framework. However, you acknowledge that no system is completely secure. You are responsible for maintaining the confidentiality of credentials, devices, and authentication factors used to access VIDA Account or Services and must immediately notify VIDA of any unauthorized use or suspected security breach. 16. In connection with the provision of the Services, VIDA may grant access to its systems and/or disclose data to:
a. affiliated companies within the VIDA group;
b. regulators, governmental bodies, or authorities, where required by applicable law;
c. authorized third-party service providers who support the delivery, operation, development, or improvement of the Services;
d. business partners involved in the provision or integration of the Services; and e. clients or customers on whose behalf you are using the Services.
You acknowledge that such system access and/or data sharing may be carried out for the purposes including providing the Services, maintaining and improving service quality, ensuring security and compliance, and supporting VIDA’s operational needs, in accordance with applicable laws and VIDA’s Privacy Policy.
17. By using VIDA Account or Services, you agree that you will not directly or indirectly:
a. adopt, publish, modify, reverse-engineer, redistribute, intercept or interfere with any transaction which is part of VIDA Account or Services;
b. circumvent, remove, impair, bypass, disable or interfere with any feature of VIDA Account or Services;
c. access, use or submit, any data that is not rightfully yours, or which you are not validly authorized to access, use or submit;
d. use any device, software, exploits or routine, including any virus, Trojan Horse, time bomb, robot, spider, data-mining or data scraping tool or cancel bot, intended to damage, intercept or interfere with the proper operation and functioning of VIDA Account or Services or to expropriate or extract any data from VIDA Account or Services;
e. use VIDA Account or Services for any illegal activity, unlawful purpose or purposes prohibited by or in breach of these Terms;
f. misrepresent or make false or misleading claims regarding VIDA, or VIDA Account or Services;
g. use VIDA for any commercial purpose or for the benefit of any third party (not authorized by VIDA), including selling, renting, leasing, or directly or indirectly charging others for the use of VIDA’s Account or Services;
h. while using VIDA Account or Services, upload, post or transmit, any material or type that:
i. is not asked for or required by VIDA Account or Services
ii. contrary to any norms, laws or regulations;
iii. is false, inaccurate or misleading;
iv. is defamatory or fraudulent; and v. infringes or violates the right of any person.
18. VIDA may use data processed in accordance with applicable laws and VIDA’s Privacy Policy to operate, maintain, improve, and enhance its Services, including the development and improvement of artificial intelligence and machine learning technologies.
D. Subscription Terms for VIDA Services:
1. Certain VIDA Services may be subject to subscription fees, usage-based charges, and applicable taxes, which will be disclosed to you prior to your use of such Services. Applicable fees may be governed by a separate agreement, order form, or commercial arrangement between entity and VIDA.
2. VIDA may grant you a period to try out the Service for a free trial for a certain period of time.
3. After the free trial period ends, you will be charged a subscription fee automatically via the payment method you choose. The subscription fee will not be charged if you cancel the Service before the free trial period ends.
4. VIDA only applies a subscription period for the Service with an annual scheme, however your subscription fee payment will be conducted in accordance with the regular payment plan you choose, namely monthly or annually. The recurring payment plan can only be changed by agreeing to a new recurring payment plan. By agreeing to the new routine payment plan, you agree that the payments you have previously made are non-refundable.
5. Once an agreement to subscribe to the Service and a regular payment method have been selected, you may not temporarily stop using the Service and request a refund of the subscription fee for the Service.
6. You may cancel your VIDA Service subscription at any time according to your wishes. When you cancel your subscription, your access to the VIDA Services will be either partially or fully revoked as well.
7. Your access to VIDA Services will be revoked if at the time of the imposition of a subscription fee in the new subscription period, it cannot be done by VIDA which occurs due to insufficient funds in the account that you authorize or invalidity or expiration of the authorized payment method.
8. VIDA may amend the subscription program at any time the details of which are provided in VIDA website, but the payments that you have made for the current subscription period will not be affected and changed with the amendment to the program. The subscription program will impact the period for which the subscription will be renewed.
E. Privacy Policy:
1. Please refer to VIDA Privacy Policy for information on how VIDA collects, uses and discloses personal data in relation to VIDA Account or Services.
F. Intellectual Property:
1. Unless otherwise indicated on the Services or otherwise, VIDA reserves the right, title and interest in all technology and data associated with the software and Services, the design, format and processing of the Services, the database, programs, protocols, displays, and manuals relating to the Services and network (including any modification, addition, or improvement thereto). VIDA’s name and logos are owned by VIDA and protected as the VIDA’s intellectual property.
2. You acknowledge that VIDA owns all titles, rights and interest, including intellectual property rights as mentioned above. You will not conduct any act which is directly or indirectly likely to limit our titles, rights or interests.
3. By the use of VIDA Account or Services, VIDA does not represent or warrant to you regarding an infringement or misuse of rights by third party, including intellectual property rights.
4. No part of VIDA Account or Services may be reproduced or used without VIDA’s prior written permission. You acknowledge that any violation or attempt to violate the provisions relating to intellectual property rights will lead to termination of all User rights related to VIDA Account or Services.
G. Marketing, Advertisements and Promotions by Third Parties:
1. VIDA may provide you with a choice, while you access VIDA Services, to enable or get notifications for marketing purposes, including advertisements and promotions by third parties. If you choose to receive notifications by third parties, you will start receiving such information related to it, your dealings or correspondence with, or participation in promotions of such third parties and any terms, conditions or warranties, are solely between you and the third party. VIDA is not liable or responsible for any loss or damage or any consequence incurred as a result of any such dealings, advertisements or promotions or as a result of the presence of third party information on VIDA Services.
H. Limitation of Liability:
1. VIDA provides the services “as is” or "as available" and does not provide any guarantee or representation that the use of VIDA Account or Services will always work timely, without interruption, free from changes, transmissions, damage, loss, removal or concealment caused by actions of any party intentionally and without rights or against the law. There may be some interruptions or delays caused by unavailability or disruptions of third party services.
2. In no event, shall VIDA be liable for any direct, special, indirect or consequential damages, or any other damages, including but not limited to (i) data loss; (ii) loss of income, profits or other income; and / or (iii) loss, damage or injury arising out of or in any way connected with your usage including but not limited to:
a. Your inability to maintain confidentiality of VIDA Account or Services, including failure to take protective measures of your Private Key, failure in securing VIDA Account or Service credentials, and use of compromised system or devices to access VIDA Services;
b. Failure in fulfilling requirement in the Subscriber’s Agreement or CP/CPS;
c. Failure due to abuse or illegal use of VIDA services;
d. Failure due to external parties outside of the control of VIDA;
e. Matters due to causes that are beyond reasonable control (force majeure), including, but not limited to act of civil or military authority, natural disasters, fire, epidemic, flood, earthquake, riot, war, failure of equipment, power failure and failure of telecommunications lines, lack of Internet access, sabotage, terrorism, and governmental action or any unforeseeable events or situations;
f. Other matters as oulined in the VIDA Warranty Policy, the applicable terms and conditions of service, or other policy documents governing the VIDA Services you use.
I. Indemnity:
1. You agree to defend, indemnify and keep VIDA indemnified and hold VIDA harmless from and against any and all claims and indemnified losses, liabilities, costs and expenses (including but not limited to legal costs), to the extent made against or suffered or incurred by VIDA howsoever arising directly or indirectly from your access to or use of VIDA Account or Services, or your breach of any of these Terms.
2. VIDA shall only indemnify you for the matters covered in VIDA Warranty Policy or other relevant contractual agreement between VIDA and clients or customers.
J. Modification of Services:
1. VIDA reserves the right to modify or discontinue temporarily or permanently any Service or any feature, functionality, workflow or parts without prior notice, you agree that VIDA will not be liable for any modification, suspension, or discontinuance of any Service, feature, functionality, workflow or parts thereof.
K. Suspension and Termination of Services:
1. VIDA may suspend access to any Account or Services immediately where necessary to: (i) protect security or integrity of the Services; (ii) comply with applicable law; (iii) investigate suspected fraud, abuse, or unauthorized activities; and (iv) prevent harm to VIDA, Users, or third parties.
2. In case of breach of these Terms or any other additional or specific terms and conditions, VIDA reserves the right to terminate your right to use VIDA Account or Services, or any portion thereof, including blocking or preventing your future access and use of VIDA Account or Services, or any portion thereof.
L. Language:
1. These Terms are prepared and executed in 2 (two) languages. In case of any discrepancy between one language and the other, the English language version will prevail. In the terms of the provision of VIDA Services is conducted by a VIDA entity operating in Indonesia, the Indonesian version shall apply.
M. Severability:
1. If any provisions of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms. While the remaining provisions will continue to be enforceable and valid. VIDA has the right to replace and/or modify the unenforceable provisions with new provisions given it is allowed and applicable by laws and regulations.
N. Governing Law:
1. These Terms shall be governed by the laws of the jurisdiction of the VIDA entity providing the applicable Services as identified in the table above.
O. Customer Support Details & Notification:
1. If you require support in relation to VIDA Account or Services, have inquiries regarding your Account, access to the Services, or your personal data or need to report any issues, you may contact VIDA at support@vida.id.
2. Any notification from us will be addressed to you via our websites, our application, or sent to you by email or phone number that you have provided us.
